This document outlines the general terms and conditions for studio hire and post-production hire at Lab A Studios. Here’s a summary of the key points covered:
Definitions
Various terms such as “Agreement,” “Booking,” “Client,” “Client’s Equipment,” “Master Recording,” and “Studio” are defined to clarify their meanings within the context of the terms and conditions.
Agreement
These terms and conditions apply exclusively to all facilities hired and work done by Lab A Studios for the Client, prevailing over any terms and conditions put forward by the Client.
Studio Facilities
Lab A Studios will make the Studio and its Operators available to the Client and produce the Master Recording as directed and approved by the Client or their Representatives. Only individuals directly involved in the recordings are permitted in the Studio Building during the Booking Period.
Post Production Work
Lab A Studios will perform Post Production Work with due care and diligence, allowing the Client to monitor the work and evaluate the content and quality of the Recording.
Payment Terms & Fees
All invoices require full payment at the end of each session day. Any unpaid session will incur an overdue fee. Interest may be charged on overdue amounts. Please note that fees are non-reducible, even in the event of the Client’s failure to use the Studio or cancellation of the Booking.
The Client’s Own Media, Personnel, and Equipment
The Client is responsible for the integrity of their media and equipment and must ensure their personnel abide by the Studio’s rules. The Client must also vacate the Studio and remove their equipment at the end of the Booking Period.
Sound Levels, Food, and Beverage
The Client is responsible for managing sound levels, which should not exceed 85 dB(A) for prolonged periods. Food, and beverages are restricted in our control room.
Drug & Smoking
Smoking and drug use are strictly prohibited.
Recordings and Materials
The Client must collect their recordings and materials immediately upon full payment of the invoice. Lab A Studios holds the materials at the Client’s risk after the Collection Date and retains a lien on them for any unpaid balances.
Indemnity
The Client indemnifies Lab A Studios against any injury, loss, damage, or expenses arising from the Client’s cancellation, use of recordings, breach of agreement, or damage caused by their media or personnel.
Content of Recording
The Client warrants that the content of the Recording does not breach any copyright, is not illegal or defamatory, and indemnifies Lab A Studios against any related claims.
Studio Breakdown Warranty
In the event of a Studio Breakdown, Lab A Studios will either reschedule or refund the Booking Fee.
Master Recording and Post Production Work Warranty
The Client must notify Lab A Studios of any defects, and Lab A Studios will endeavor to correct them or replace lost/damaged materials, with liability limited to the Maximum Liability.
Client’s Recordings
The Client must copy their recordings before delivery, with Lab A Studios’ liability limited to the value of the media.
Trade Marks
The Client cannot use Lab A Studios’ trade marks without express authorization.
Filming and Photography Restrictions
Filming and photography of Studio Building are restricted, with specific permissions required for non-personal use or filming outside the Studio.
Company’s Overall Liability
Lab A Studios’ liability is limited to the Maximum Liability for direct losses, excluding indirect or consequential losses, economic loss, and other conditions and warranties.
Force Majeure
Lab A Studios is not liable for failure to perform obligations due to force majeure events like natural disasters, war, or industrial actions.
Miscellaneous
The Client cannot pledge the credit of Lab A Studios, and any variations to the Agreement must be in writing. The Agreement is governed by the laws of the United States and subject to the exclusive jurisdiction of its courts.
